1. Digital Products & Delivered Assets

Due to the nature of digital content, all sales of final delivered assets are final and non-refundable. Once a digital file has been sent to you or downloaded, it cannot be "returned." Exceptions are only made if the file is technically defective or corrupt and cannot be replaced.

2. Service Projects & Campaigns

For our design services, refunds are regulated as follows:

• Before Work Begins: If you cancel your order 24 hours before the scheduled production begins, you are eligible for a 100% full refund.
• Work in Progress: If you choose to terminate the project after we have started the research but before the final delivery, a 50% cancellation fee will apply to cover the time and resources already invested. The remaining 50% will be refunded.
• Rush/Priority Orders: Due to the immediate allocation of resources and schedule displacement, all Rush orders require 100% upfront payment and are strictly non-refundable once the booking is confirmed, regardless of cancellation time.
• After Delivery: No refunds are issued for services once the final deliverables have been sent. If you are dissatisfied with the aesthetic direction, we offer 2 rounds of revisions as per our service agreement, rather than a monetary refund.

3. "Subjective Quality" Disclaimer

Please note that AI-generated designs are artistic interpretations based on your requirements. We guarantee that we will fulfill the technical specifications (e.g., resolution, file format, theme adherence) agreed upon in the project scope. Refunds will not be granted solely based on personal subjective dissatisfaction with the AI's artistic style if the technical scope was met. We encourage utilizing the revision process to adjust the style.

Terms of Service

OVERLAY is a creative service operated by TEPROF LLC. Throughout these Terms, "we", "us", and "our" refer to TEPROF LLC trading as OVERLAY.

1. Acceptance of Terms

By accessing this website and engaging our services, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, then you may not access the website or use any services.

2. Service Description

OVERLAY provides AI-generated visual assets and bespoke art direction services. All engagements are conducted via email communication and finalized through mutually agreed invoices.

3. Intellectual Property Rights

Upon full payment of the final invoice, the Client is granted 100% ownership and commercial rights to the delivered assets. OVERLAY retains the right to display the created works in our portfolio and social media for promotional purposes, unless a Non-Disclosure Agreement (NDA) has been signed prior to the project.

4. Payment Terms

Services are billed via invoice processed by Stripe. A non-refundable deposit (typically 50%) is required to commence work. The remaining balance is due upon approval of the final watermarked previews, before the delivery of high-resolution files. Rush orders require 100% upfront payment.

5. Limitation of Liability

In no event shall OVERLAY be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which OVERLAY is registered, without regard to its conflict of law provisions.
